Terms of Sale
These are the Terms of Sale on which Manton Consultancy (“we”, “our”, “MC”) supply our goods and services to you, the Customer (the “you”, “your”).
Please read these terms carefully before completing your purchase. By completing your purchase, you confirm that you accept these Terms of Sale (“Terms”) and that you agree to comply with them. These Terms establish a legally binding agreement for your use of our goods (“the Templates”). If you do not agree with these Terms, please do not make a purchase from our website.
Use of our goods
Our Templates provide you with a quick and easy way to ensure your business has some of the necessary legal documents. They provide you with an efficient and economical way of protecting your business.
Once your purchase is complete, access to our Templates will be granted instantaneously. You will be able to download and save the purchased Templates to your digital devices. You will be able to download the Templates a total of two times. For any further use, you will need to save the documents to your digital devices.
Please be aware that our products are only templates, not completed agreements. You will need to alter and amend these Templates to reflect your business needs. We cannot be held responsible for any issue that may arise from your failure to amend our Templates.
Prices and Payment Terms
The prices that can be found on our website are true and accurate. However, we do retain the right to change the prices as appropriate from time to time.
All prices will be shown in Pound Sterling and payable in this currency. You accept that your bank may charge you an additional fee for certain transactions (for example, international transactions).
You agree to provide us with up to date information, including your email address, credit card number and expiration date, so we can complete your transactions and contact you if required. We may refuse to process your transaction at our sole discretion. We will not be liable to you or any third party due to any cancellation, refusal or suspension of any transaction after processing has begun.
Sometimes our product may be offered at a reduced cost. However, we are not obligated to offer this and should this occur, will be at our sole discretion.
You can only use one promotional code or special offer at any one time.
Refunds
When you purchase Templates from us, you will have access to them straight away. This instantaneous access means we are unable to cancel any purchase or offer any refunds on our goods. Before completing your purchase, please check you are buying the correct Templates for your business.
We will attempt to provide you with the best Templates for your business. However, we cannot guarantee the Templates will wholly suit you and your business needs. If you are unsure which Templates are suitable for you and your business, please contact us. Please be aware we are unable to provide you with legal advice.
Refunds will be given if it is in accordance with your statutory rights.
Disclaimer
Our agreements are drafted in accordance with the law of England and Wales. We make no guarantee that the Templates will be appropriate, correct or compatible with other jurisdictions.
No purchase made by you from our website should be construed as forming a solicitor/client relationship nor should these Terms be interpreted that way either. Nothing in these Terms is intended to establish any partnership or joint venture between MC and you.
We make no guarantee of profits or success for your business.
Intellectual property
We retain ownership of our intellectual property rights. We grant you a fully paid-up, non-exclusive, royalty-free licence to use our Templates only. Our Templates are governed by the jurisdiction of England and Wales.
You will not have the right to grant any person a sub-licence for the use of our Templates. You cannot buy or distribute these Templates for commercial purposes or sell our Templates to a third party. If you are found to do any of these actions, you may be subject to legal action.
Agreeing to these Terms means you recognise and agree that damages alone may not be a sufficient remedy for any breach of these Terms. MC are entitled to the remedies of injunction, specific performance or other equitable relief for any threatened or actual breach of these Terms.
If a third party expresses interest to you about purchasing our Templates, email us about their interest. Send us the third party’s information (with their consent), such as company name and email address, and we will send you an affiliate code they can use at the checkout. If the third party purchases our Templates and uses the affiliate code, we will be notified and send you a token of appreciation.
Data Protection
Any personal data provided by you is processed by us in accordance with our Privacy Notice. By providing such personal data you agree to the terms of our Privacy Notice.
By using our website, you acknowledge and agree that transmitting data is never completely private or secure. You understand that any message or information you send to our website may be read or intercepted by third parties, even if special measures are taken, for example, the data is encrypted.
Limitation of Liability
To the fullest extent permitted by applicable laws, we disclaim responsibility for any harm resulting from your use of our Templates. We will not be liable to you for any indirect, consequential, special, exemplary, incidental or punitive damages, including lost profits, whether such claim is based on warranty, contract, tort or otherwise (even if we have been advised of the possibility of such damages).
If we are found liable to you for any damage or loss which arises out of or in connection with using our Templates, our liability will not exceed the greater of (1) the total payment received by us from you when purchasing the disputed document; or (2) £100.
Governing Law
By agreeing to these Terms, you agree they will be governed by the law of England and Wales. Any dispute arising from, or related to, such contracts or these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
